Title:Vpliv višje sile na odškodninsko odgovornost pogodbenih strank : magistrsko delo

Abstract:Hiter gospodarski razvoj terja hitro in učinkovito prilagajanje potrebam oziroma zahtevam, ki se vsakodnevno oblikujejo pri sklepanju pogodb. Ker se pogodbe sklepajo vsak dan in, skoraj na vseh področjih življenja, je potrebno še posebno pozornost nameniti začetnim pogajanjem pri pogodbenih določilih, ki morajo biti jasno določena, še preden je pogodba, med dvema partnerjema v pisni obliki, sklenjena dokončno. Državnih meja pri sklepanju gospodarskih pogodb skorajda ni več, pogodbeni partnerji se pri sklepanju poslov prav zato srečujejo tudi z različnimi zakonskimi ureditvami. Pri sklepanju pogodb s partnerji iz drugih držav in drugih kultur se partnerji običajno med seboj niti ne poznajo. Vsak posebej deluje v različnih okoljih, spoštuje druge zakone, zato je še toliko bolj pomembno, da se določila pogodbe dogovorijo še posebej skrbno in natančno, saj je v njih izražena volja pogodbenih strank. Pogodba, ki je sklenjena v pisni obliki,odraža voljo obeh pogodbenih strank, ki svojo voljo oziroma zahteve zapišeta in s tem vsaj omejita ali preprečita morebitne kasnejše nesporazume. Hkrati s težnjo ponudnika, da v čim večji možni meri zadovolji potrebe morebitnih pogodbenih partnerjev, se na drugi strani odpira tudi vprašanje možnosti neizpolnitve pogodbenih obveznosti oziroma nespoštovanja dogovora. V primeru neizpolnitve pogodbenih obveznosti zakonska pravila predvidevajo različne sankcije. Pri tem se največkrat pojavlja odškodnina. Pogodbene stranke poizkušajo na različne načine izključiti ali samo omejiti svojo odgovornost in s tem tudi višino odškodnine. Pri tem ima stranka, ki je dalj časa prisotna na trgu, običajno prednost. Bolje pozna morebitne rizike, ki bi lahko imeli vpliv na izvršitev pogodbenih določil. Pri sklepanju pogodb je bolj previdna in ni pripravljena prevzeti vseh rizikov, ki bi lahko ogrozili izvedbo posla (Kranjc, 2008, str. 191). V magistrskem delu bom poudarek namenila raziskovanju vpliva višje sile na odškodninsko odgovornost pogodbenih strank. Še posebej me bo zanimalo vključitev vpliva višje sile v pogodbeno razmerje in s tem tudi morebitno odškodninsko odgovornost pogodbenih strank. Prav tako bom pojasnila, kaj sploh je višja sila v pogodbi.

Abstract:Rapid economic development requires fast and efficient adaptation to the requirements or who are constantly formed in contracting. Since contracts are negotiated every day, in almost all areas of life, it is necessary to focus their attention in the initial negotiation of contractual terms, which must be clearly defined before the contract between the two partners in writing entered into definitive. National borders in concluding commercial contracts almost no more, contractors are doing business very reason also face different regulatory regimes. When contracting with partners from other countries and other cultures, usually between the partners themselves do not even know. Each one works in different environments, respect other laws, and makesit even more important that the terms of the contract agreed very carefully and accurately, because in them the will of the contracting parties. The contract, which was concluded in written form reflects the will of both parties, that their will be recorded or requirements and with the minimum limit or avoid any future misunderstandings. At the same time, with a tendency provider to the maximum extent possible to meet the needs of potential contractors, on the other hand raises the question of the possibility of failure to fulfil contractual obligations or failure to comply with the agreement.In case of failure to fulfil contractual obligations, statutory regulations provide for different penalties. This is more likely damages. The parties trying in various ways to exclude or limit its liability only and thus the amount of damages. In doing so, the party's long time presence in the market is usually preferred. He better knows the potential risks that could have an impact on the execution of contractual provisions. In the case of contracts it is more cautious and not willing to assume all risks, which could jeopardize the transaction (Kranjc, 2008, p. 191). In this thesis I will emphasis on exploring the impact of force majeure on tort parties. I am particularly interested in the impact of the inclusion of force majeure, a contractual relationship and thus the potential tort liability of the parties. I will also explain what a greater force in the contract is. This will be discussed lessons learned from the master's thesis can also benefit misdemeanour authorities in their daily work.
