Title:Mednarodni prenos sedeža ter statusno preoblikovanje družb v švicarskem in evropskem pravu : magistrsko delo

Abstract:Mednarodni prenos sedeža in statusno preoblikovanje družb predstavljata pomembni orodji, ki družbam omogočata čezmejno mobilnost in prilagajanje na zahteve globalnega trga. Magistrska naloga obravnava ureditev na področju čezmejnega prenosa sedeža ter statusnega preoblikovanja družb v EU, Sloveniji in Švici. Družbe s sedežem v EU na notranjem trgu imajo pravico do svobode ustanavljanja na podlagi 49. člena PDEU, kar jim omogoča svobodno izbiro kraja sedeža družbe in s tem tudi prenos sedeža družbe v drugo državo članico. Z Deseto direktivo je EU harmonizirala področje čezmejnih združitev, medtem ko za čezmejni prenos sedeža trenutno ne obstaja ustrezni pravni okvir. Pomembno vlogo na tem področju je imelo Sodišče EU, ki je s sodno prakso nadomeščalo pomanjkljivo zakonodajno ureditev. Pri mednarodnem prenosu sedeža in statusnem preoblikovanju družb nastanejo pomembne posledice za družbenike, upnike in zaposlene, katerim mora zakonodaja nuditi ustrezno pravno varnost. Področje mednarodnih statusnih preoblikovanj in prenosa sedeža v Švici ureja zakon IPRG. Kljub temu da Švica ni pristopila k EU, pa je z EU sklenila številne sporazume, ki so približali švicarsko pravo pravu EU. V nalogi smo preučevali, ali obstaja sporazum, ki bi Švici zagotavljal svobodo ustanavljanja, kakršna izhaja iz 49. člena PDEU. Analiza in primerjava zakonodaje sta pokazali pomemben vpliv prava EU na zakonodajo na področju mednarodnega statusnega preoblikovanja družb v Švici.

Abstract:International transfer of company's seat and restructuring are important tools that enable the cross-border mobility and enable companies to adopt to the needs of the global market. The thesis deals with the legislation on cross-border transfer of a company's seat and restructuring in the EU, Slovenia and Switzerland. Companies in the EU have the freedom of establishment within the EU based on Article 49. TFEU, which enables them a free choice of the company's seat and a cross-border transfer of its seat to another Member State. Cross-Border Mergers Directive has made a harmonisation for cross-border mergers in EU, while there is no legal framework for cross-border transfer of seat. The Case law of the European Court of Justice has had an important role and filled in the lack of legislation. Cross-border transfer of seat and restructuring have significant effect on shareholders, creditors and employees, which requires special security provisions. IPRG Act in Switzerland regulates cross-border transfer of seat and restructuring. Despite the fact that Switzerland is not an EU member, it has signed several agreements with EU in order to make its legislation closer to EU law. This thesis studies if an agreement would be an agreement that would give the Switzerland a right of establishment equivalent to the right of Article 49 TFEU. The analysis has shown the important influence of EU law on Swiss legislation.
