Title:Odgovornost članov organov upravljanja v gospodarskih družbah v Republiki Sloveniji : magistrsko delo

Abstract:V času neugodnih gospodarskih razmer so dejanja članov organov vodenja in nadzora v korporacijah še posebej pod drobnogledom. Republika Slovenija je na političnem zemljevidu mlada tranzitna država, ki je praktično čez noč prešla iz sistema samoupravljanja v moderen kapitalistični sistem, ki je po večini že bil razvit v srednji in zahodni Evropi. Kljub uspešni zgodbi in sinonimu za uspeh, ki ga je Republika Slovenija predstavljala s svojim hitrim razvojem, prilagoditvijo novemu evropskemu trgu in konkurenčnim gospodarstvom, se je v času krize pokazalo veliko napak in anomalij predvsem z vidika nesmotrnega poslovanja in napačnih odločitev vodilnih organov v gospodarskih družbah. Upravi je v gospodarski družbi zaupano upravljanje,zato od tod izhaja odgovornost uprave in nadzornikov za njihova dejanja, ki se odražajo v skrbnem prizadevanju za dobro poslovanje družbe.Prav odgovornost uprave in nadzorstvenih organov za škodo,povzročeno družbi, se je pokazala za bistven element pri raziskovanju vzrokov za številne insolventne postopke in enormno izgubo kapitala v času krize. V letih sanacije gospodarske panoge se je na podlagi izkaza napačnih in včasih tudi pravno nedovoljenih dejanj pričelo kar nekaj odškodninskih in kazenskih postopkov na temelju dokazovanja odškodninske ali kazenske odgovornosti članom organov vodenja in nadzora gospodarskih družb. Medtem ko so se akterji primarno ukvarjali z dokazovanjem ali obrambo pri dokazovanju odškodninske ali kazenske odgovornosti,pa se je obenem razvijala sodna praksa, ki danes služi za pomembno oporo pri aktualnih sodnih postopkih na to temo.

Abstract:In the time of unfavourable economic conditions, conduct demonstrated by members of supervisory and management bodies in corporations is usually under particular scrutiny. The Republic of Slovenia is placed on the political map as a young transition state, which virtually overnight changed its self-government regime for a modern capitalistic system - one that had already been in place in central and western Europe. Despite writing a story of success and being synonymous with progress the Republic of Slovenia stood for with its rapid development and adaptation to the new European market and competitive economy, the time of crisis revealed its many faults and anomalies mostly in terms of irrational management and wrongful decisions made by management bodies in companies. A company management is entrusted with leading a company, which means that itsmanagement and supervisors also have a responsibility for their actions, and this should reflect in prudent efforts made towards a good company management. It is precisely the responsibility of a management body for any damages caused to a company that proved to be a crucial element in making research to find out what caused the many insolvency proceedings and numerous cases of capital loss during the time of crisis. In the years when the economy sector experienced restructuring, there were quite a few damage claims filed and criminal proceedings started for wrongful and sometimes also unlawful acts, based on proving the damage liability and criminal accountability of management and supervisory board members in companies. With many people focusing on collecting evidence or building up defence in damage liability or criminal accountability cases, the case law also developed, and today it serves as significant support in similar current court proceedings.
