Title:Uvrstitev finančnih instrumentov na Ljubljansko borzo : diplomsko delo

Abstract:Diplomska naloga skozi relevantne nacionalne in evropske predpise opisuje pravno regulacijo slovenskega trga vrednostnih papirjev. Osredotoča se na postopek uvrstitve vrednostnih papirjev na organiziran borzni trg in trg SI ENTER Ljubljanske borze. Ker za Slovenijo kot članico Evropske unije harmonizacija nacionalnega prava s področja trga finančnih instrumentov z evropskimi pravili poleg obligatornega vidika, ki je potreben za vzpostavitev enotnega kapitalskega trga, predstavlja tudi velik pomen z vidika razvitosti in konkurenčnosti slovenskega kapitalskega trga, je opisan in ovrednoten prenos relevantnih evropskih predpisov v ZTFI-1. Predstavljene so spremembe predpisov trga finančnih instrumentov, kot so predpisi glede objave prospekta ter poravnave, ki so bile sprejete z namenom vzpostavitve varnega in stabilnega trgovanja. Možnost uvrstitve finančnih instrumentov na Ljubljansko borzo je odvisna od regulacije tako finančnih instrumentov kot tudi mest trgovanja. V povezavi z navedenim diplomska naloga umešča trg Ljubljanske borze v pravno regulacijo in opredeljuje druge oblike mest trgovanja. Z vidika razumevanja pojma finančnega instrumenta diplomska naloga interpretira vsebino določb evropskih predpisov in jo primerja z vsebino določb ZTFI-1, ki so bile stvar prenosa zadevnih evropskih predpisov. Diplomsko delo izpostavlja aktualno problematiko pomanjkljive regulacije novodobnih tehnologij, s katerimi bi se potencialno lahko trgovalo na mestih trgovanja.

Abstract:The diploma thesis describes legal regulation of the Slovenian securities market in the light of relevant national and European regulations. It focuses on the security listing procedure in place for the Ljubljana Stock Exchange organized market and MTF. Not only is harmonization of the national law with the EU legislation covering financial instrument market obligatory with a view to providing the capital market union, it is also crucial in terms of the development and competitiveness of the Slovenian capital market. Therefore, the thesis describes and evaluates harmonization with/transposition of the relevant European regulations into the ZTFI-1, focusing on the changes in the financial market rules such as those applicable to the prospectus and settlements enacted with a view to providing for safe and stable trading. Options available for listing financial instruments on the Ljubljana Stock Exchange depend on the regulations governing both financial instruments and trading venues. In this regard, the thesis places the Ljubljana Stock Exchange market within the legal regulation and defines other forms of trading venues. In terms of understanding the term financial instrument, the thesis interprets the content of the provisions of European regulations and compares it with the content of those provisions of ZTFI-1 that originated in the transposition of the relevant European regulations. The diploma thesis also highlights the current problem of the lack of the regulation governing modern technologies that could potentially be traded at trading venues.
