Abstract:
Diplomsko delo opisuje in predstavlja instituta ničnosti in izpodbojnosti skupščinskih sklepov tako v delniški družbi kakor tudi v družbi z omejeno odgovornostjo. Zakon o gospodarskih družbah (ZGD-1) instituta ničnosti in izpodbojnosti skupščinskih sklepov določa v poglavju o delniški družbi, v poglavju o družbi z omejeno odgovornostjo pa v zvezi s tema institutoma napotuje na smiselno uporabo določb o delniški družbi. Poglobitev v obe obliki kapitalskih družb, njune organe ter njihove pravice in obveznosti pa hitro opozori na obstoj nekaterih bistvenih razlik med obema oblikama gospodarskih družb, zaradi katerih tudi ureditev institutov ničnosti in izpodbojnosti skupščinskih sklepov ne more biti enaka. Diplomsko delo opisuje delniško družbo, družbo z omejeno odgovornostjo in njune organe ter z analizo teorije in sodne prakse primerja in opozarja na razlike med institutoma ničnosti in izpodbojnosti skupščinskih sklepov v delniški družbi in družbi z omejeno odgovornostjo. Na koncu še primerja ureditev institutov ničnosti in izpodbojnosti skupščinskih sklepov v Republiki Sloveniji z ureditvijo v Republiki Hrvaški.

Abstract:
This final assignment describes and represents the institutes of nullity and voidability of the General Meeting resolutions in the joint-stock company as well as in the limited liability company. Companies Act of Republic of Slovenia (ZGD-1) stipulates nullity and voidability of the General Meeting resolutions in the chapter referring to joint-stock company, and in the chapter referring to limited liability company it refers to the meaningful application of the provisions on joint stock company regarding nullity and voidability of the General Meeting resolutions. The in-depth study of the two companies, their bodies and their rights and obligations, quickly points to the existence of some essential differences between the two types of companies, which also make equal regulation of the institutes of nullity and voidability of the resolutions of the General Meeting for both types of companies impossible. Final assignment describes a joint-stock company, a limited liability company and their bodies, comparing and pointing out the differences between institutes of nullity and voidability of General Meeting resolutions in a joint-stock company and a limited liability company by analysing theory and case law. Finally, it compares the regulation of the institutes of nullity and voidability of the General Meeting resolutions in the Republic of Slovenia with those of the Republic of Croatia.
