Title:Izključitev in izstop družbenika iz družbe z omejeno odgovornostjo : diplomsko delo

Abstract:Družba z omejeno odgovornostjo je ena izmed pravnoorganizacijskih oblik, v katero se družbeniki povezujejo z namenom uresničevanja ciljev na področju pridobitnih in tudi nepridobitnih dejavnosti. Položaj družbenikov v takšni organizaciji pa ni trajen in nespremenljiv. Diplomsko delo obravnava dva instituta (izključitev in izstop družbenika) družb z omejeno odgovornostjo, ki sta namenjena izločitvi družbenika iz te povezave. Izločitev se lahko izvrši na podlagi lastne volje družbenika ali po volji drugih družbenikov. Delo se osredotoča na teoretično in normativno obravnavo obeh institutov ter pri tem sooča tudi različna mnenja, ki se pojavljajo v pravni literaturi. Ob tem poda tudi vpogled v sodno prakso slovenskih sodišč in njihove najpomembnejše ugotovitve glede omenjenih institutov. V delu smo uporabili predvsem kompilacijsko in deskriptivno metodo ter deloma tudi analitično in normativno. S pomočjo primerjalne metode pa smo obravnavali primerljiva instituta, ki ju ureja delniško pravo (iztisnitev in izstop manjšinskih delničarjev), ter predstavili podobnosti in razlike med obema ureditvama. Cilj diplomske naloge je bolje razumeti oba omenjena instituta, tako v teoretičnem kot praktičnem smislu, ob tem pa tudi izpostaviti nekatera odprta vprašanja, ki se pojavljajo v zvezi z njima. Ob tem upamo, da bo primerjava institutov delniške družbe in družbe z omejeno odgovornostjo kot ekonomsko najpomembnejših družb predstavljala dodano vrednost te diplomske naloge.

Abstract:A limited liability company is one of the legal organizational forms in which the partners unite in order to achieve goals in the field of for-profit as well as non-profit activities. The position of partners in such an organization, however, is not permanent and unchanging. The diploma thesis deals with two institutes (expulsion and withdrawal of a partner) of limited liability companies, which are intended to exclude a partner from this association. The exclusion may be made on the basis of the partner's own will or at the will of the other partners. The work focuses on the theoretical and normative treatment of both institutes, while also confronting different opinions that appear in the legal literature. It also provides an insight into the case law of Slovenian courts and their most important findings regarding the mentioned institutes. We mainly used the compilation and descriptive method, and partly also the analytical and normative method. Using the comparative method, we discussed similar institutes found in joint- stock companies (squeeze-out and sell-out), and presented the similarities and differences between the two regimes. The aim of the diploma thesis is to better understand both mentioned institutes, both in theoretical and practical terms, and at the same time to highlight some open questions that arise in connection. At the same time, we hope that the comparison of the institutes of a joint-stock company and a limited liability company, as the most economically important companies, will represent the added value of this diploma thesis.
