Title:Diplomatska zaščita družbenikov gospodarskih družb : doktorska disertacija

Abstract:Institut diplomatske zaščite se je oblikoval skozi stoletja in je v zadnjem obdobju dozorel za to, da ga države preko postopka kodifikacije v Organizaciji združenih narodov (OZN) sprejmejo v obliki konvencije, ki bi jo kasneje države tudi ratificirale. S tem bi ta institut postal pravno zavezujoč za vse te države, kar bi vneslo v mednarodno gospodarstvo in trgovino zaščito, ki jo potrebujejo pravni in fizični subjekti pri delovanju v tujih državah. V tej doktorski disertaciji se je poskušalo predstaviti predvsem institut diplomatske zaščite z vidika družbenikov gospodarskih družb. Predstavilo se je dosedanjo prakso Meddržavnega sodišča v Haagu (ICJ) in postopek kodifikacije, ki je potekala v okviru Komisije za mednarodno pravo pri OZN (ILC). Sredi devetdesetih let prejšnjega stoletja je postopek kodifikacije dobil velik zagon, ki je pripeljal do tega, da je bil v okviru OZN sprejet celo Osnutek členov o diplomatski zaščiti (DADP). Vendar pa so se, morda tudi zaradi gospodarske krize, ki se je začela leta 2008, stališča držav spremenila oz. postala vsaj bolj zadržana. Države, ki so do takrat aktivno podpirale postopek kodifikacije instituta diplomatske zaščite, so od takrat naprej začele zavzemati bolj zadržana stališča glede nadaljnjega postopka kodifikacije. Doktorska disertacija predstavlja in analizira stališča držav skozi potek kodifikacije v okviru OZN ter stališča mednarodnopravne stroke v povezavi s posameznimi pomembnimi primeri, ki so se že vodili pred Meddržavnim sodiščem v zvezi z družbeniki gospodarskih družb. Ravno tako prikaže vpliv teh primerov na oblikovanje osnutka členov o diplomatski zaščiti in njegovo kasnejšo uporabo v praksi Meddržavnega sodišča v zvezi z obravnavanjem družbenikov.

Title:(Diplomatic Protection of Shareholders)
Abstract:The mechanism of Diplomatic Protection has evolved over the centuries and has recently matured enough to be accepted by states through a process of codification by the United Nations (UN) in the form of a convention, to be later ratified by states. This would make the mechanism legally binding for all nation states, thus permeating the international economy and trade with the protection required by legal and natural entities in order to operate in foreign countries. This doctoral dissertation presents the Diplomatic Protection mechanism from the perspective of corporate shareholders. It outlines the current practice of the International Court of Justice (ICJ) in The Hague, as well as the codification process which was conducted by the United Nations International Law Commission (ILC). During the mid-1990s, the UN codification process gained momentum, leading to the adoption of the Draft Articles on Diplomatic Protection (DADP). Alas, the onset of economic crisis in 2008 has changed the views of participating states or at least made restrained them. The very countries which supported the codification process of the Diplomatic Protection mechanism have since taken more restrained views regarding the further process of codification. This doctoral dissertation presents and analyses the views of states through the course of codification by the UN, as well as the views taken by the international legal profession in relation to specific important cases that have already been tried before the International Court of Justice regarding corporate shareholders. Moreover, it demonstrates the impact of these cases on the drafting of Diplomatic Protection articles, as well as its subsequent application in the case-law of the International Court of Justice regarding the treatment of shareholders.
