Title:Problematika izbrisa podrejenih dolžniških finančnih instrumentov : magistrsko delo

Abstract:Magistrsko delo celovito obravnava področje podrejenih dolžniških finančnih instrumentov, med katere sodijo tudi podrejene obveznice. Slednje so v letih po globalni finančni krizi izdajale komercialne banke z namenom krepitve regulatornega dela kapitala, podrejene obveznice pa so se prodajale tako poučenim kot tudi nepoučenim vlagateljem, ki jim ni bila pojasnjena visoko tvegana narava teh instrumentov. Leta 2013 je Evropska unija zaradi slabega finančnega stanja nacionalnih komercialnih bank Republiki Sloveniji naročila izvedbo stresnih testov s strani neodvisnih revizorjev, rezultati pa so v več nacionalnih bankah pokazali finančni primanjkljaj ali celo negativni kapital. Ker je bankam, katerih kapitalsko stanje ni bilo ustrezno, grozil stečaj, je z namenom zagotovitve kapitalske ustreznosti prišlo do spremembe zakonodaje, konec leta 2013 pa je Banka Slovenije na podlagi novele Zakona o bančništvu izdala odločbe o izrednih ukrepih, na podlagi katerih je v več komercialnih bankah prišlo do izbrisa podrejenih obveznic. Delo analizira okoliščine, v katerih je prišlo do izbrisa podrejenih obveznic, odločbo Ustavnega sodišča, ki je leta 2016 presojalo o tej zadevi, obravnava spremembe zakonodaje na predmetnem področju, ob obravnavi instituta odškodninske odgovornosti pa se opredeljuje tudi do morebitnih pravdnih zahtevkov imetnikov izbrisanih finančnih instrumentov

Abstract:The master's thesis comprehensively deals with the field of subordinated debt financial instruments, which also includes the institute of subordinated bonds. In the years following the global financial crisis, the latter were issued by commercial banks with a view to strengthen the regulatory part of bank capital. Subordinated bonds were sold to both educated and uninformed investors to whom the high-risk nature of these instruments was not explained. In 2013, due to the poor financial condition of national commercial banks, the European Union commissioned the Republic of Slovenia to perform stress tests by independent auditors. The results in several national banks showed a financial deficit or even negative capital. As banks whose capital status was not adequate were threatened with bankruptcy, the legislation was amended in order to ensure capital adequacy, and at the end of 2013, the Bank of Slovenia adopted Decisions on extraordinary measures. Based on the amended Banking Act, subordinated bonds were terminated in several commercial banks. The thesis analyses the circumstances in which the termination of subordinated bonds took place, the decision of the Constitutional Court, which ruled on this matter in 2016, while it further deals with changes in national legislation in the subjected area, while it also defines possible claims of holders of terminated subordinated bonds together with the institute of liability
