Abstract:Amortizacija vrednostnih papirjev. Že sama beseda amortizacija nas napeljuje na ekonomijo, vendar gre v pravu za poseben izraz, s katerim označujemo sodni postopek. Pri tem gre namreč za obnovitev in nadomestitev izgubljenega ali do nerazpoznavnosti uničenega vrednostnega papirja ter njegove pravice. Tisto, kar deli pravno teorijo, je amortizacija različnih vrst vrednostnih papirjev. Tako nimamo enotnega postopka pri vseh vrstah vrednostnih papirjev in se prav zaradi tega pojavljajo razlike v tem, za kakšen vrednostni papir pravzaprav gre. Ker vrednostni papir, kjer je zapisana pravica, ni neuničljiv in trajen, ga lahko izgubimo ali poškodujemo do te mere, da se ne dá razbrati njegove vsebine. V tem primeru je potreben sodni postopek, kjer se ta listina s sklepom razveljavi in naloži obveznost zavezancu, da izpolni izpolnitev upravičencu oziroma nadomesti izgubljen ali do nerazpoznavnosti uničen vrednostni papir z drugim. Vendar pa imamo več vrst vrednostnih papirjev, ki se med sabo razlikujejo in vsak tudi prenaša na svoj način. Pri imetniških in orderskih je amortizacija nujna, tako določa tudi zakon, ki pravi, da brez listine ni pravice. Pri imenskih pa je del pravne teorije zasnovan na stališču, da naj se amortizirajo, če sta se zavezanec in upravičenec odločila inkorporirati pravico v papir – in za to je potrebna listina –, medtem ko drugi del teorije pravi, da se pravica tam tako ali tako prenaša s cesijo. S tem ko se uniči listina, še vedno obstaja pravica in zato amortizacija ne bi bila potrebna. To vprašanje pa še zdaj ostaja odprto.

Abstract:The very word amortization leads us to economics but in law it is an independent term referring to court proceedings dealing with the restoration and replacement of a lost or unrecognizably destroyed security and its rights. What divides legal theory, however, is the amortization of different types of securities. Thus, we do not have a uniform procedure for all types of securities, but there are differences depending on what kind of security it is. Since the security on which the right is written is not an indestructible and permanent document, it can be lost or damaged to such an extent that its contents cannot be deducted and court proceedings are therefore required, where the document may be annulled via the court's and may furthermore impose an obligation on the debtor to complete the fulfillment owed to the beneficiary or replace the lost or unrecognizably destroyed security with another. That being said we recognize several types of securities that differ from one another and each of those transfers in a different. When dealing with possessions and orders, amortization is necessary and the law also stipulates that they are amortized because the right does not exist without a deed. In case of names, the position is questionable as part of the legal theory argues they should be amortized in case they decide to incorporate the right into paper, then a document is needed. A different position argues that the right is transferred there by cession and therefore the right to destroy the document and therefore amortization are not necessary. That question remains unresolved.
