Title:Razmerje med neizpolnitvijo in izpolnitvijo z napako : diplomsko delo

Abstract:Diplomsko delo obravnava tradicionalno polemično vprašanje v kontinentalnih pravnih ureditvah, ko dolžnik namesto dogovorjenega izpolni nekaj drugega, kar ne ustreza premetu pogodbe (aliud). V praksi pa je včasih sila težko presoditi, ali gre res za drug predmet ali pa je predmet sicer pravi, samo nekoliko slabši (peius). Dilema klasičnih rimskih pravnikov, ali je skisano vino še vedno vino, je v nekaterih ureditvah – tudi v slovenski – še vedno aktualna, saj se v kazuistiki še vedno pojavljajo tovrstni primeri. Teoretično izhodišče slovenske ureditve je, da gre v primerih aliuda za neizpolnitev v smislu zamude. Obligacijski zakonik sledi teoriji kavze (causa), kjer je pomembno vprašanje, kaj je bil namen pogodbe in če izpolnitev v tem pogledu ustreza zavezi iz pogodbe. Sodna praksa temu (še) sledi. Del novejše teorije kot pragmatično zastopa stališče, da je prevzem izpolnitve tista kritična točka, do katere ima upnik še možnost izbire, ali bo uveljavljal sankcije zaradi aliuda ali zaradi peiusa. V skrajni posledici lahko oba instituta pripeljeta do razdora pogodbe, vendar se pomembno razlikujeta v rokih zastaranja oziroma prekluzije ter predpostavkah, zlasti glede pravočasnega grajanja napak. Med ugotovitvami dela je, da v slovenski civilistični teoriji obstajajo pomisleki glede trenutno veljavne normativne ureditve razmerja aliud-peius, ni pa enotnega pogleda na možne rešitve. Pričakovati je, da bo s časom prišlo do transplantacije nove nemške ureditve ali pa bo Slovenija ubrala lastno smer razvoja, ki jo bo narekovala zlasti sodna praksa skozi prizmo trenutka prevzema (napačne) izpolnitve.

Abstract:The thesis deals with a traditionally polemical issue in continental legal jurisdictions, when the debtor instead of agreed performances or delivers a different thing, something that isn’t adequate to the object of obligation (aliud). In the practice, however, it is sometimes difficult to distinguish the cases of non-conforming performance from irregularities of performance. The dilemma of classical Roman jurists as to whether sour wine is still wine is this very day current in some jurisdictions, including Slovenian. The Code of Obligations follows the theory of the cause (causa), where the important question is the will and intention of the contracting parties and if the performance in this respect corresponds to the commitment under the contract. Case-law still follows this concept. In more recent theory is presented the statement that the acquisition of fulfilment is a critical point to which the obligee has a choice whether to claim sanctions regarding non-performance or non-conformity. In final consequence both institutes cause rescind of contract but they differ significantly in some aspects. Among the findings of the work is that there are concerns in Slovenian theory of law of obligations about the current normative regime of the aliud-peius relationship - but there is no single view of possible solutions. It is to be expected in time that the new German regulation will be transplanted into Slovenian Code of Obligations, or Slovenia will take its own path of development, which will be dictated by case-law, in particular regarding the moment of taking over performance.
